The Econometrics of Corporate Governance Studies

A vast theoretical and empirical literature in corporate finance considers the interrelationships of corporate governance, takeovers, management turnover, corporate performance, corporate capital structure, and corporate ownership structure. Most of the studies look at two variables at a time. In this book, Sanjai Bhagat and Richard Jefferis argue that from an econometric viewpoint, the proper way to study the relationship between any two of these variables is to set up a system of simultaneous equations that specifies the relationships among the six variables. The specification and estimation of such a system of simultaneous equations, however, is nontrivial.

The authors illustrate their argument with a discussion of the impact of corporate anti-takeover measures on takeovers and managerial job-tenure. During the past two decades, an overwhelming majority of publicly held US corporations have adopted anti-takeover measures. The authors show that, contrary to expectation, defense measures are ineffective in preventing takeovers and the frequency of CEO departures is unrelated to takeover defenses. At firms with poison pill defenses, however, there is a statistically significant relationship between management turnover and company performance.

Audience:The book appears to be written for allied health and special education students at the graduate level.
Features:The book includes a historical overview of the development of the scientific method in healthcare. It is mainly illustrated and supported by examples of most of the concepts and techniques. It includes discussions of all aspects of research, including such things as research ethics, literature searches, and the format of the research paper.
Assessment:This book merits an average rating. On the plus side, the book does touch upon all major topics, and most of these are clearly defined. There are ample illustrations and examples that make the text more comprehensible. A wide range of resources is provided. The weaknesses of the book are that many concepts and issues are treated in the most superficial manner. Also, the authors present some research approaches in ways that not all researchers would agree with. For example, qualitative research is presented as a model of application of scientific method in biomedicine, whereas much qualitative literature views this approach as an alternative to the assumptions andapproaches of a biomedical-based scientific method. Sometimes the text does not flow because the authors use more of an outline approach rather than a narrative approach to presenting concepts. The book is probably a stronger text for undergraduate rather than graduate students.

Sexual Harassment and the Law: The Mechelle Vinson Case

Title VII of the 1964 Civil Rights Act may have outlawed sex discrimination, but it did not address the sexual harassment of women in the workplace-behavior that courts did not deem illegal until well into the era of the modern civil rights and women's movements. Mechelle Vinson's lawsuit against her employer, Meritor Savings Bank v. Vinson (1986), changed all of that. Adopting the legal theory pioneered by feminist Catharine MacKinnon that sexual harassment was indeed discriminatory, the Supreme Court's opinion, authored by one of the most conservative justices, brought the problem of sexual harassment into the spotlight and placed power relations between men and women at work squarely on the public agenda.Plaintiff Vinson claimed that she had submitted to the unwanted sexual advances of her supervisor in order to hold onto her job. Although her supervisor denied her charges and the bank he worked for disavowed any knowledge of misbehavior, her suit finally reached the Supreme Court after six years of litigation, where a unanimous Court determined that the creation of a "hostile work environment" through sexual harassment was a form of sex discrimination—and that such harassment could be actionable even without economic injury to the plaintiff. Augustus Cochran reexamines the origins, contexts, and impact of this landmark decision and introduces readers to the main actors in the drama: bank teller Vinson, her boss and alleged harasser, and a changing cast of jurists. Cochran traces the case from the lower court's ruling in favor of the bank through the appellate stage overturning that ruling to the Supreme Court's holding that sexual harassment violates Title VII. He analyzes the decision's contentious legacy, charting the course of issues raised in the case—hostile environment, unwelcomeness, employer liability—as they have played out in later cases. He also examines new and related legal developments since 1986 and explores the opinions of those who think the laws have gone too far, and of others who think they haven't gone far enough. The Supreme Court's ruling has had far-reaching implications in the workplace and also influenced such high-profile controversies as the Anita Hill-Clarence Thomas hearings, the Tailhook scandal, and the Clinton impeachment. In telling this story, Cochran has written a definitive work on sexual harassment and the law that will fascinate and inform all concerned with equal rights and the empowerment of women. Strategics

Most of what passes for strategic planning is not strategic at all. It is long-range planning or comprehensive planning, or in some cases just program or project planning. The result is a relinquishment of control to external conditions and circumstances, the perpetuation of obsolete systems, and organizational fragmentation and internal conflict. The opportunity to create new possibilities and realities--the ultimate object of strategy--is lost. Cook maintains that even to attempt strategy there must first be a strategic system, a system that deals with strategic issues, decision-making, and strategic action, which is preceded by strategic thinking. Cook combines these three aspects of strategy into a coherent, powerful concept that reinvigorates strategy with its original forceful meaning: "strategos--to lead an army." In this way strategy becomes the "means by which communities continuously create artifactual systems to serve extraordinary purposes." His book contains sound, pragmatic theory, original insights into strategic issues, and detailed hands-on guidance on all phases of strategic thinking, planning, and action. Cook explains that stragetics can be expressed as thinking, planning, and action. Strategic thinking "will always embrace five arenas: the definition of strategy, the meaning of leaders and leading, the distinction between condition and cause, the nature of systems, and the characteristics of organizations." Strategic planning, as a currently popular management practice, is not what it was originally. The definition has changed. The only definition that captures the original intent is: the means by which a community of people create artifactual systemsto serve extraordinary purposes. Dr. Cook points out that strategic action is seldom included in any contemporary intepretation or application of strategy, yet action is both the realization of strategy and the creation of new possibilities beyond strategy. In that sense, strategic action is the end and the beinning of strategics. Thus, Cook takes the traditional idea of strategic planning, infuses it with strategic thinking, and carries it to strategic action. Instead of merely improving what already exists, organizations can create new systems that are capable of what he calls "constant emergence--always vital, always creative."

Still a Man's World: Men Who Do "Women's Work"

Men who do "women's work" have consistently been the butt of jokes, derided for their lack of drive and masculinity. In this eye-opening study, Christine Williams provides a wholly new look at men who work in predominantly female jobs. Having conducted extensive interviews in four cities, Williams uncovers how men in four occupations--nursing, elementary school teaching, librarianship, and social work--think about themselves and experience their work.
Contrary to popular imagery, men in traditionally female occupations do not define themselves differently from men in more traditional occupations. Williams finds that most embrace conventional, masculine values. Her findings about how these men fare in their jobs are also counterintuitive. Rather than being surpassed by the larger number of women around them, these men experience the "glass escalator effect," rising in disproportionate numbers to administrative jobs at the top of their professions. Williams finds that a complex interplay between gendered expectations embedded in organizations, and the socially determined ideas workers bring to their jobs, contribute to mens' advantages in these occupations.
Using a feminist psychoanalytic perspective, Williams calls for more men not only to cross over to women's occupations, but also to develop alternative masculinities that find common ground with traditionally female norms of cooperation and caring. Until the workplace is sexually integrated and masculine and feminine norms equally valued, it will unfortunately remain "still a man's world."

In the Barrios: Latinos and the Underclass Debate

The image of the "underclass" framed by persistent poverty, long-term joblessness, school dropout, teenage pregnancy, and drug use, has become synonymous with urban poverty. But does this image tell us enough about how the diverse minorities among the urban poor actually experience and cope with poverty? No, say the contributors to In the Barrios. Their portraits of eight Latino communities - in New York, Los Angeles, Miami, Houston, Chicago, Albuquerque, Laredo, and Tucson - reveal a far more complex reality. In the Barrios responds directly to current debates on the origins of the "underclass" and depicts the cultural, demographic, and historical forces that have shaped poor Latino communities. These neighborhoods share many hardships, yet they manifest no "typical" form of poverty. Instead, each group adapts its own cultural and social resources to the difficult economic circumstances of American urban life. Mexican Americans in Tucson are among the poorest people in the country, yet bolstered by strong extended families and affordable local housing, many own their own homes. In a Puerto Rican neighborhood in Brooklyn, displaced workers are suffering severely, but they live side by side with working-class homeowners who are contributing substantially to the institutional viability of the community. In the Barrios challenges the image of isolation and decay that is so often portrayed in theories of urban poverty. Housewives are a vast portion of humanity, yet they have received very little attention, let alone respect. Now Glenna Matthews, who spent many years as "just a housewife" before becoming a scholar of American history, sets out to redress this imbalance.
What she has found will surprise many readers: While there was always greater esteem for the male world of work, in the mid-nineteenth century, she maintains there was such widespread reverence for the home that housewives had considerable self-respect. The early stages of industrialization--the invention of the stove and the sewing machine, for example--made possible a craft tradition of cooking, baking and sewing that gave women great satisfaction and a place in the world. The home had an important religious role and was seen as the center of republican virtue. There was an intermingling of private and public spheres for both men and women, and marriage was generally companionate.
One hundred years later, even though women had new opportunities, most women were still occupying the role of housewife, yet much less esteem was attached to that role. On the basis of an examination of a vast array of sources, ranging from novels like Huckleberry Finn, Uncle Tom's Cabin and Main Street, as well as letters, popular magazines, and cookbooks, Matthews sets out to examine what women had, and what they have lost in modern times. She argues that the culture of profesionalism of the late nineteenth century and the culture of consumption that came to fruition in the 1920s combined to kill off the "cult of domesticity" and led to what Betty Friedan identified in Feminine Mystique as "the problem that has no name"--the emptinessand devaluation of many housewive's lives.
This is an important, challenging book that sheds new light on a central aspect of human experience, the essential task of providing for a society's nurture and daily maintenance.

Multinational Firms and the Theory of International Trade

Evolution of International Institutions in an Integrating World Economy
